Institutional Bitcoin-Backed Lending*

Two Prime provides financial services to institutional bitcoin holders. We use quantitatively driven, tightly risk-managed strategies to deliver BTC-denominated returns. We also offer overcollateralized, bitcoin-secured loans through Two Prime Lending Limited.

Two Prime advises the largest and most sophisticated public companies in the industry. We also serve other corporate treasuries, miners, institutional investors, funds of funds, and high-net-worth individuals.

Two Prime is registered with the U.S. Securities and Exchange Commission (the "SEC") as an investment adviser under the U.S. Investment Advisers Act of 1940, as amended (the "Advisers Act"), effective February 2022. The Firm’s SEC registration number is 801-23219. The Firm is also SOC 1 Type 1 and SOC 2 Type 1 certified. This means that an independent auditor verified that Two Prime’s internal controls for customer financial data (SOC 1) and data security/availability (SOC 2) are well designed and operating effectively in accordance with standards established by the American Institute of Certified Public Accountants (AICPA). The Firm currently operates under an NFA exemption as a Commodity Trading Advisor (CTA). However, we expect to become a formally registered CTA in January 2026. The exemption, as well as full registration, means Two Prime can advise others on the value or advisability of trading futures contracts, options on futures, retail off-exchange forex contracts, or swaps. Lastly, Two Prime currently offers Broker-Dealer services as a branch office of LPS Capital. LPS Capital (member FINRA/SIPC/NFA) is a full-service, boutique Broker-Dealer headquartered in New York City, Long Island, and Palm Beach Gardens, Florida.

We built Two Prime for the institutional bitcoin era, combining deep capital markets experience with quantitative rigor. Our team includes PhDs in mathematics and physics alongside traders with decades in equity derivatives, structured products, and alternative strategies. We don't treat bitcoin like venture capital. We treat it like an asset class that requires professional risk management, transparent reporting, and strategies designed to perform across market cycles.
